These Terms & Conditions (“Agreement”) govern your use of the online training program offered by Academy of Care California DBA HCAtraining.online  (“we,” “us,” “our,” “Provider”), including the website, learning management system, modules, content, assessments, and any related services (collectively, the “Program”). By enrolling in, accessing, or using the Program, you (“you,” “Participant,” “Student”) agree to be bound by this Agreement.

1. Program Description

We provide a non-medical home care aide training program designed to prepare participants for work in the home care sector (the “Training”). The Program is not a licensed medical education course, nor does completion guarantee employment, licensure, certification, or certain outcomes.

2. Eligibility & Enrollment

2.1 You represent and warrant that you are at least 18 years old (or the age of majority in your jurisdiction) and have legal capacity to enter into this Agreement.
 2.2 We reserve the right to accept or deny any enrollment at our sole discretion.
 2.3 Once you enroll and make any required payment (if applicable), we will grant you access to the Program as described in our website or enrollment materials.

3. Access & Use

3.1 You will be provided login credentials and access to the online training materials for the term defined in the enrollment materials 12 months from enrollment.
 3.2 Your access is non-exclusive, non-transferable, non-sublicensable, and limited solely to your personal use.
 3.3 You may not share your login, provide access to third parties, resell, assign, or permit others to use the Program under your login.
 3.4 You agree to use the Program in compliance with applicable laws and with this Agreement, and not to misuse or interfere with the Program or the rights of others.

4. Intellectual Property

4.1 All content, materials, modules, videos, assessments, documents, software, trademarks, and other intellectual property provided in the Program (“Materials”) are owned by us or our licensors, and are protected by copyright, trademark, and other intellectual property laws.
 4.2 By accessing the Program, you are granted a limited license to use the Materials for your personal training purposes only. No ownership rights or other licenses are transferred to you.
 4.3 You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, sell, transfer, or exploit the Materials in any way except as expressly permitted herein.
 4.4 If you breach this section, we may terminate your access and pursue legal remedies.

5. Payment, Fees & Refunds

5.1 If there is a fee for enrollment, you agree to pay the fees as invoiced. All fees are non-refundable except as provided in this Agreement or our refund policy.
 5.2 Payment schedules, installment plans (if any), and deadlines will be described in the enrollment materials. Failure to pay may result in suspension or termination of access.
 5.3 Refund Policy: No refunds
 5.4 We reserve the right to change fees for future cohorts; such changes will not affect fees for your already-enrolled Program unless explicitly agreed.

6. Results, No Guarantee & Disclaimers

6.1 You acknowledge that while we aim to provide high-quality training, we do not guarantee any particular result, outcome, employment, certification, or other benefit from completing the Program.
 6.2 The Program is for educational/training purposes only and does not constitute professional medical advice, nursing care training, or licensure. You are responsible for verifying and complying with any applicable regulatory, licensing or employment requirements in your jurisdiction.
 6.3 We are not responsible if you do not successfully complete the Program, pass any external examinations, obtain employment, or otherwise achieve the results you hoped for.

7. Access Interruptions & Modifications

7.1 We strive to make the Program available continuously but cannot guarantee uninterrupted access. We are not liable for any inconvenience, loss or damage caused by access interruptions, downtime, or discontinuation of the Program.
 7.2 We may modify, update, suspend, or discontinue the Program or any part of it (including access terms, features, content) with or without notice. Continued access constitutes your acceptance of those changes.

8. Student Conduct and Code of Ethics

8.1 You agree to participate honestly and ethically, complete assessments and assignments in your own work, and not to cheat, plagiarize, share login credentials, or otherwise violate academic integrity.
 8.2 We reserve the right to terminate your access or revoke your certificate (if applicable) if you engage in misconduct, misuse the Program, violate these Terms, or act in a manner that is disruptive or harmful.

9. Certificate, If Applicable

9.1 If the Program includes a certificate of completion (“Certificate”), you must meet the completion criteria (such as finishing modules, passing assessments) as described in the enrollment materials.
 9.2 The Certificate is valid only if you comply with the rules and obligations in this Agreement. We reserve the right to revoke the Certificate if you engaged in misconduct or non-compliance.

10. Limitation of Liability

To the fullest extent permitted by law, in no event shall we, our directors, officers, employees, affiliates or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, loss of data, loss of opportunity, or other loss, arising out of or related to your enrollment in or use of the Program, even if advised of the possibility of such damages.
 Our total aggregate liability under this Agreement shall in any event be limited to the amount of fees you paid for the Program (if any).

11. Indemnification

You agree to indemnify, defend and hold harmless Academy of Care California, its officers, directors, employees, agents and affiliates from and against any claims, liabilities, losses, damages, costs, including reasonable attorneys’ fees, arising out of your breach of this Agreement, misuse of the Program, violation of applicable law, or infringement of third-party rights.

12. Governing Law & Dispute Resolution

12.1 This Agreement shall be governed by and construed in accordance with the laws of the State of California without regard to its conflict of law provisions.
 12.2 Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state or federal courts located in [insert county], California, and you agree to submit to the personal jurisdiction of those courts.

13. Termination

13.1 We may terminate or suspend your access to the Program at any time, for any reason (including your breach of this Agreement), with or without notice.
 13.2 Upon termination, your rights to access the Program and its Materials cease immediately, and you must stop using the Materials and, if requested, destroy any downloaded or printed copies you have.
 13.3 Sections of this Agreement that by their nature should survive termination (such as Intellectual Property, Limitation of Liability, Indemnification, Governing Law) will continue in force.

14. Changes to Terms & Conditions

We reserve the right to modify or replace these Terms & Conditions at any time. If we do so, we will post the revised version on our website or notify you by email, and the “Effective Date” at the top will be updated. Your continued use of the Program after those changes constitutes your acceptance of the new Terms.

15. Miscellaneous

15.1 Entire Agreement – This Agreement constitutes the entire agreement between you and us regarding the Program and supersedes any prior or contemporaneous communications.
 15.2 Severability – If any provision of this Agreement is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will remain in full force and effect.
 15.3 Waiver – No failure or delay by us in exercising any right under this Agreement will constitute a waiver of that right.
 15.4 Assignment – You may not assign or transfer your rights under this Agreement without our prior written consent. We may assign our rights without restriction.
